Terms of Service
Terms governing SmartDID software, subscriptions, technical services, support, and customer responsibilities.
1. Agreement
These Terms apply when a customer buys, subscribes to, downloads, accesses, installs, or uses HBTutorial SmartDID or related services supplied by HBTutorial. A quotation, invoice, statement of work, or written order may add transaction-specific terms. The more specific written scope controls when it conflicts with a general description.
2. Services and deliverables
Services may include software delivery, licensing, installation, provisioning, API integration, VICIdial or Asterisk configuration, DID routing, customization, consulting, migration, maintenance, hosting, monitoring, security work, and technical support. Only deliverables explicitly listed in the accepted invoice or scope are included.
3. License and intellectual property
Unless the invoice expressly transfers ownership, software, source code, scripts, documentation, designs, methods, trademarks, and know-how remain the intellectual property of HBTutorial or its licensors. Payment grants only the license and usage rights described in the invoice. The customer may not resell, sublicense, publish, distribute, reverse engineer, remove ownership notices, or provide unauthorized third-party access.
4. Accounts and security
Customers must protect usernames, passwords, tokens, keys, enrollment secrets, and server access. Shared accounts should be avoided. The customer must promptly report suspected compromise. HBTutorial may suspend access when necessary to protect customers, infrastructure, or data.
5. Telecommunications and lawful use
The customer is solely responsible for lawful calling, caller-ID use, consent, dialing practices, recording notices, DNC compliance, carrier rules, number ownership, data handling, and applicable telecommunications, privacy, marketing, and consumer-protection obligations. The service must not be used for fraud, spoofing, harassment, unlawful robocalling, credential theft, malware, unauthorized interception, or rights violations.
6. Customer environment
The customer must maintain compatible servers, operating systems, database services, network connectivity, DNS, certificates, firewalls, carriers, SIP trunks, backups, and authorized administrative access. Changes made by the customer or another provider may require paid remediation.
7. Fees and payment
Invoices are payable under the stated due date and currency. Taxes, payment-provider charges, bank fees, exchange fees, and third-party service costs are the customer’s responsibility unless expressly included. Overdue or reversed payments may result in suspension.
8. Subscriptions
Recurring services renew for the billing period disclosed on the invoice or checkout page until cancelled. Cancellation stops future renewals but does not ordinarily refund a billing period already started. Usage, support, hosting, and third-party limits remain subject to the purchased plan.
9. Support and changes
Support covers only the scope, duration, response target, and systems stated in the invoice or plan. New features, unsupported systems, emergency response, customer-created defects, carrier issues, and third-party changes may require a separate quotation.
10. Availability and maintenance
No Internet, telecommunications, carrier, cloud, or software service can be guaranteed uninterrupted. Planned maintenance, emergency maintenance, upstream failures, attacks, Internet outages, force majeure, and customer infrastructure may affect availability.
11. Warranties
HBTutorial will perform professional services with reasonable care and will attempt to correct reproducible defects within the agreed support scope. Except for warranties that cannot legally be excluded, no guarantee is made that every carrier, destination, third-party API, operating system, or business result will remain compatible or available.
12. Limitation of liability
To the maximum extent permitted by law, HBTutorial is not liable for indirect, incidental, special, punitive, or consequential loss, including lost revenue, lost calls, lost data, lost opportunities, regulatory penalties caused by customer conduct, or third-party outages. Aggregate liability for a claim is limited to the amount paid for the affected product or service during the period giving rise to the claim, except where such a limitation is unlawful.
13. Suspension and termination
Access may be suspended for non-payment, security risk, abuse, unlawful use, excessive resource use, unauthorized resale, or material breach. Termination does not erase fees already due, consumed services, confidentiality duties, intellectual-property protections, or other provisions intended to survive.
14. Governing terms
These Terms are governed by the applicable laws of the Republic of the Philippines, subject to mandatory consumer, privacy, and payment rights that apply to the customer. Invalid provisions will be narrowed or removed without invalidating the remainder.
